TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the websites, applications, platforms, features, tools, products, and services provided by Wise Butterfly Inc. ("WisePal," "we," "us," or "our"), collectively, the "Services". These Terms govern Wise Butterfly Inc.'s Services only. Insurance services provided by WisePal Insurance Agency, LLC are subject to their separate applicable agreements and notices; these Terms do not amend or replace those documents.

By accessing or using the Services, creating an account, submitting a bill or provider account for negotiation, or otherwise indicating your acceptance, you agree to these Terms and our Privacy Policy. Additional disclosures or terms presented to you in connection with a particular Service are incorporated into these Terms. If transaction-specific terms conflict with these Terms, the transaction-specific terms will control with respect to that Service.

You must be at least 18 years old to create a WisePal account or authorize Services. Our consumer Services are offered in the United States, subject to availability and any applicable eligibility or licensing requirements.

1. WisePal Services

WisePal helps consumers identify and pursue opportunities to reduce recurring household expenses.

Our Services may include:

1.1 Bill Negotiation

You may ask WisePal to contact an existing service provider (“Provider”) and attempt to reduce the amount you pay while keeping your existing Provider and existing service or plan, unless you expressly authorize a change.

Depending on the Provider and the negotiation, WisePal may seek promotional pricing, retention offers, loyalty discounts, account credits, fee reductions, or other savings opportunities.

WisePal does not guarantee that a negotiation will succeed, that any particular amount of savings will be achieved, or that a Provider will make any offer available.

1.2 Comparisons and Switching Opportunities

WisePal may also show you alternative products, providers, plans, financial products, or other opportunities that could reduce your expenses.

These comparison and switching services are separate from bill negotiation. You decide whether to pursue any alternative offer. WisePal does not change your Provider or enroll you in a new third-party product without your express authorization.

WisePal may receive compensation from Partners or Providers if you choose certain products or services through WisePal.

1.3 Other Savings Services

WisePal may make additional household-expense comparison and savings tools available. Their availability, provider, scope, fees, and any additional terms are identified in the applicable Service. A general description of an opportunity does not expand the account-specific bill-negotiation authority you grant.

2. Your Authorization for Bill Negotiation

When you request a bill negotiation, you expressly appoint and authorize WisePal to act as your limited agent solely for the purpose of performing the negotiation and related account servicing you requested. You authorize WisePal to act in your name and on your behalf within that scope, including through the human and automated representatives identified below.

You authorize WisePal and its employees, contractors, human negotiators, automated systems, artificial-intelligence-powered agents, and service providers to:

contact your Provider on your behalf by telephone, chat, website, application, electronic message, or other available channel;

identify and access the Provider account you submitted for negotiation;

request and receive information about your account, including your current price, plan, services, promotions, discounts, account tenure, billing information, and available savings opportunities;

provide or confirm the account holder's name, contact details, account number, PIN, passcode, and other account or verification information that you supplied to or authorized WisePal to use, including one-time codes for the account-verification purpose for which you provided them;

negotiate for discounts, credits, promotional pricing, fee reductions, and other savings relating to that account; and

take other reasonable steps necessary to perform the negotiation you requested, subject to these Terms and applicable law.

If reasonably necessary to perform the requested negotiation, you authorize WisePal's agents, acting solely as your limited agent and for the limited authorized purpose, to represent to the Provider that they are the account holder, to the extent permitted by applicable law and the Provider's applicable requirements.

You affirmatively request that the Provider disclose to WisePal and the representatives acting for WisePal the account, billing, service, and pricing information reasonably necessary to perform your requested negotiation. Where applicable, your electronic acceptance of this authorization is your written direction designating WisePal to receive customer proprietary network information for that purpose. This direction is subject to your authority over the account described in Section 3.

Your submission of an account for negotiation authorizes the account-access, verification, and negotiation activities described in this Section; it is not merely a request to receive general information about WisePal. This authority does not extend to an unrelated account or purpose or to an account change outside Section 5.

You authorize WisePal to present this authorization and relevant account-submission, verification, communication, and Service records to the Provider, communications or payment service providers, and other parties reasonably involved in verifying our authority, investigating a fraud or misconduct complaint, or resolving a dispute, subject to the Privacy Policy and applicable restrictions.

This authorization is limited to the Services you request. WisePal is not the Provider's agent and does not represent or act on behalf of the Provider.

3. Your Authority Over the Provider Account

By submitting a Provider account for negotiation, you represent and warrant that:

you are the account holder or otherwise have authority to make decisions concerning the account;

you have authority to authorize WisePal to act on the account as described in these Terms;

all information you provide is accurate to the best of your knowledge; and

your use of WisePal does not violate any legal obligation applicable to you.

You may not submit another person's Provider account unless you are authorized to act on that account and to delegate the limited authority described in these Terms to WisePal.

If a Provider requires direct confirmation from you, a one-time verification code, additional verification information, or another form of authorization before it will communicate or negotiate with WisePal, you agree to reasonably cooperate with that verification process.

WisePal may pause or discontinue a negotiation if we cannot verify your authority, if the Provider refuses to proceed, or if additional information required to continue is not provided.

4. Provider Account and Verification Information

To perform the Services, WisePal may ask you for information such as:

your name, contact information, service address, Provider name, account number, telephone number associated with the account, account holder information, bill or billing statement, plan information, account PIN or passcode, login or authentication information, payment information, and other information reasonably required to identify or verify the account.

You may also be asked to provide a one-time passcode or other verification code sent by a Provider. You authorize WisePal to use such code solely for the purpose for which you provided it, including verifying and accessing the Provider account in connection with the requested Service.

Some Services may allow you to connect an email account, bank account, Provider account, or other third-party account. Unless a particular flow expressly states otherwise, these connections are optional and are governed by the authorization presented to you when you connect the account.

WisePal may use third-party services to verify your identity, telephone number, account ownership, payment method, or other information.

5. Negotiation Preferences and Account Changes

WisePal's bill negotiation service seeks to lower your price while keeping your existing Provider and existing service or plan, unless you expressly authorize a change.

Within that scope and your selected preferences, WisePal may exercise reasonable judgment in seeking and accepting discounts, promotional prices, account credits, fee waivers, and similar savings. Separate approval is not required for a price-only reduction already within your authorization.

Your general request for a negotiation does not authorize WisePal to cancel service, switch Providers, downgrade your service or plan, add a paid product or service, enter into a new contractual commitment, establish a new payment arrangement, or make another material change to your account. Such a change requires your express authorization for that change.

Administrative labels, promotion names, discount codes, or billing descriptions alone do not constitute a change to your service or plan if the underlying services, benefits, and contractual obligations remain unchanged. An offer is assessed by its substantive effect, not merely the Provider's label for it.

WisePal may present an opportunity outside your existing authorization for you to approve or decline. Providing an account PIN, a verification code, payment details, or general consent to use the Services does not by itself authorize an otherwise unapproved change.

6. Artificial Intelligence and Automated Agents

WisePal may use artificial intelligence, automated systems, software agents, and human personnel to provide the Services.

These systems may assist with Provider calls and chats, account verification, negotiation, customer communications, quality assurance, fraud prevention, analysis of billing information, and other activities necessary to provide and improve the Services.

You authorize WisePal to use such systems in performing Services you request.

The use of automated technology does not change the limited scope of WisePal's authority described in these Terms.

7. Call Monitoring, Recording, and Transcription

WisePal may monitor, record, or transcribe communications relating to the Services for service delivery, documentation, quality assurance, security, fraud prevention, training, dispute resolution, and product improvement, where permitted by applicable law.

You consent to WisePal monitoring, recording, and transcribing communications between you and WisePal where legally permitted.

Communications between WisePal and third-party Providers will be handled in accordance with applicable law and Provider requirements.

Recordings and transcripts may be processed using automated or artificial-intelligence systems as described in our Privacy Policy.

8. Negotiation Fees and Payment Options

Certain bill negotiation Services are provided on a success-fee basis. You owe no negotiation fee for an unsuccessful negotiation.

Before you submit a paid negotiation, WisePal will disclose the applicable fee percentage and calculation method. The rate and method presented in the applicable flow, including any promotional or partner-specific rate, control for that negotiation. The result applies those agreed terms to the savings obtained; it does not by itself change the agreed rate or method.

A negotiation is successful when the Provider confirms a discount, credit, waiver, or other eligible savings for your account that WisePal obtains within your authorization. Your selected payment option below determines when the applicable fee is earned and becomes payable. The two options are alternative fee arrangements for the identified negotiation, not cumulative charges. A payment option does not authorize an additional negotiation or extend the covered savings period.

The one-time Pay Now earning rule applies only if you select that option. An estimate of First-Year Savings or presentation of the available options does not by itself create a Pay Now fee obligation. The option you authorize governs the fee arrangement for that negotiation.

8.1 Savings calculation

"First-Year Savings" means your reasonably expected eligible savings during the first twelve months following the effective date of the negotiated savings. Unless a different baseline is specifically disclosed and agreed before the negotiation, savings are measured against the applicable pre-negotiation charges for the same service. A documented scheduled price increase is included in the baseline only if the agreed calculation method provides for it.

Recurring reductions are counted only for their expected duration within that twelve-month period. One-time credits and waivers are counted once. Pre-existing discounts and unrelated credits are not counted as savings obtained by WisePal. Reducing or removing services does not count as like-for-like negotiation savings unless you expressly authorize that change and the associated fee treatment. Savings are calculated before deducting WisePal's fee.

8.2 Pay Now - 10% single-payment discount

If you select Pay Now, your fee is 90% of the amount calculated by multiplying your agreed fee percentage by First-Year Savings. The 10% discount reduces the WisePal fee, not the amount of your Provider bill, and is not a reduction of ten percentage points in the agreed fee percentage.

This one-time fee is earned when the negotiation succeeds under your selected Pay Now arrangement and is payable on the disclosed payment date after that success. Payment satisfies WisePal's fee for that negotiation and covered savings period in full; no monthly fee is also charged for the same savings. The fee is based on the agreed projection rather than a monthly accrual of fees and remains subject to the correction provisions below and applicable law.

8.3 Pay Monthly - recurring savings and one-time credits

If you select Pay Monthly, your agreed fee percentage applies to eligible savings, without the 10% Pay Now discount. Recurring reductions and one-time credits are treated as follows.

Recurring reductions. A fee is earned for a covered billing period only to the extent an eligible negotiated recurring reduction actually applies to your Provider account for that period. That fee equals your agreed fee percentage multiplied by the eligible recurring savings and is payable under the disclosed schedule after those savings apply. Confirmation of a negotiation does not, by itself, create a fixed first-year debt for projected recurring savings.

The recurring-savings period consists of the first twelve monthly Provider billing periods beginning with the period in which those savings first apply. No recurring-savings fee is earned for a period without eligible recurring savings. A period without those savings does not extend that period or create a recurring-savings amount to be recovered later.

We may calculate and schedule recurring charges using the Provider's confirmation of the amount, effective date, and duration of a reduction and other information reasonably available. We do not undertake continuous monitoring of your Provider bills. If you believe savings were not applied, ended early, changed, or were reversed, notify support@wisepal.com and provide the relevant bill or other reasonably available supporting information. If review confirms that recurring savings did not apply for a period, the corresponding recurring-savings fee is not owed and any overpayment is corrected under Section 8.4. The timing of your report does not by itself make an unsupported fee valid or limit nonwaivable rights.

One-time credits and waivers. When an eligible one-time credit or waiver actually applies to your account, the fee attributable to that item is earned once and equals your agreed fee percentage multiplied by its value. Under Pay Monthly, that earned fee is divided into twelve monthly installments under the disclosed payment schedule, beginning no earlier than the credit or waiver applies. Those installments may be combined with charges for recurring-savings fees. Rounding may be adjusted in the final installment so that the installments total the agreed fee. The same credit or waiver is not counted again as recurring savings.

The unpaid installments for an applied one-time credit or waiver remain payable on the agreed schedule even if an unrelated recurring reduction later ends, subject to Section 8.4 and applicable law. A reversed or unsupported credit or waiver is reviewed under Section 8.4; the installment schedule does not make an unsupported fee valid. The limit on periods of eligible recurring savings does not shorten the disclosed repayment schedule for an already-earned one-time-credit fee.

An estimate of the monthly total is not a guaranteed annual fee for recurring savings. Each monthly charge may include both a fee earned on recurring savings for that period and an installment of a fee already earned on an applied one-time credit or waiver. Unrelated changes in usage, taxes, or other charges do not eliminate a negotiated reduction or credit that actually applies.

Closing your WisePal account, stopping future negotiations, or changing or revoking a payment method does not by itself eliminate fees on eligible recurring savings from a completed negotiation that continue within the covered period, or unpaid installments of an earned one-time-credit fee, except as required by law. A missed payment, account closure, cancellation instruction, or termination does not accelerate unpaid installments, create fees for recurring savings that have not applied, or convert Pay Monthly into Pay Now. Fees already earned remain due under their applicable schedules. We may send payment reminders and request updated payment details. These provisions do not require continuous monitoring or additional negotiations.

8.4 Results and fee review

For example, a $100 recurring monthly reduction expected to apply for twelve months produces First-Year Savings of $1,200. At an illustrative 35% rate, Pay Now is $378 after the 10% fee discount. Under Pay Monthly, the recurring component is $35 for each month in which the full $100 reduction applies, totaling $420 if it applies for all twelve months. If it applies for only six months, the recurring component totals $210. Separately, a $120 one-time credit that actually applies produces a $42 fee at that rate, paid in twelve $3.50 monthly installments under Pay Monthly. With both items, Pay Now would be $415.80; Pay Monthly would total $462 if the recurring reduction applies for all twelve months. If it ends after six months but the one-time credit remains applied, the monthly arrangement totals $252, including all $42 of the one-time-credit fee.

The result provided to you will show the savings and applicable fee calculation for your selected option. The payment date and schedule are governed by the payment terms applicable to your negotiation, subject to this Section. Later changes in usage, customer-selected services, taxes, Provider-wide charges, or other matters unrelated to the negotiated savings do not by themselves eliminate an otherwise earned fee.

You may request review of a fee by contacting support and providing relevant bills or other supporting information. If we verify a material error in the calculation or that a savings item used to calculate the fee was not obtained, we will correct the affected portion of the fee and refund any resulting overpayment. This review provision does not require WisePal to continuously audit your Provider bills and does not limit nonwaivable rights.

9. Payment Authorization

If you provide a payment method, you authorize WisePal and its payment processors to use that payment method for amounts you agree to pay under the Services.

WisePal may place a small temporary authorization or verification hold on a card or payment method if disclosed to you during the payment flow. A temporary authorization hold is not a negotiation fee and ordinarily is released in accordance with the applicable financial institution's procedures.

If WisePal successfully obtains savings, you authorize WisePal to charge the applicable success fee according to the payment terms disclosed to you.

By selecting Pay Now, you authorize its discounted one-time charge. By selecting Pay Monthly, you authorize the recurring-savings charges and twelve monthly installments of the fee on an applied one-time credit or waiver described in Section 8.3, at the agreed percentage and under the disclosed schedule. A scheduled or estimated charge does not establish that projected recurring savings actually applied. The distinct fee-earning rules and correction provisions in Section 8 control.

If you choose to pay through a bank account or ACH, additional payment authorization presented during that payment flow will apply.

If a payment fails, amounts you validly owe under these Terms remain due, and WisePal may take reasonable lawful steps to collect those amounts.

10. Cancellation of a Negotiation

You may request cancellation of a pending negotiation before WisePal completes it by contacting WisePal support at support@wisepal.com.

Cancelling future Services does not itself reverse a completed negotiation or eliminate a fee already earned under the applicable fee terms. Any fee correction or refund remains governed by Section 8 and applicable law.

Stopping a pending negotiation, stopping future negotiations, closing your WisePal account, and revoking a payment authorization are different instructions. You may identify the instruction you wish to give when contacting support. Revoking a payment authorization does not extinguish an otherwise valid payment obligation, and an outstanding obligation does not make the payment authorization irrevocable. For Pay Monthly, Section 8.3 governs fees on continuing recurring savings and installments of an earned one-time-credit fee, without accelerating either schedule.

11. Future Negotiations and Reattempts

WisePal may offer ongoing monitoring, retries, or future renegotiation of eligible bills.

Where you authorize ongoing monitoring or future negotiations in the applicable onboarding flow or Service disclosure, your authorization continues for the identified account and authorized scope until revoked. A new account or an action outside that scope is not authorized merely because you previously requested a negotiation.

WisePal may determine whether and when to make a further attempt, including after a Provider indicates that no discount is currently available or when an existing promotional rate is expected to expire. Unless expressly agreed otherwise, this authorization does not require continuous monitoring, an attempt at a particular frequency, or a successful result.

Fees for a future successful negotiation are determined under the fee basis applicable to the authorization you accepted. A change requiring additional notice or consent is subject to those requirements and does not apply retroactively to an already completed negotiation.

You may contact WisePal at support@wisepal.com to stop future negotiation attempts for an account.

12. Communications With You

You authorize WisePal to contact you in connection with Services you request using the contact information you provide. Service-related communications may include negotiation updates, requests for verification information or one-time codes, availability requests, reminders, payment notices, results, support communications, and fraud or security alerts.

Depending on the Service and applicable permissions, communications may be sent by email, SMS, telephone, automated call, in-app message, or another available channel. Consent required for marketing communications is obtained separately; general acceptance of these Terms is not a substitute for consent where a separate form of consent is required.

You may use the unsubscribe or opt-out method provided in a marketing communication from Wise Butterfly Inc., or contact support@wisepal.com, to stop the applicable marketing. A marketing opt-out does not itself cancel a requested negotiation or an earned fee. Any further communications remain subject to applicable law and any valid revocation of consent.

You remain responsible for carrier messaging, data, or other charges imposed by your communications provider.

13. Comparisons, Partners, and Third-Party Products

WisePal may provide information about products or services offered by third parties ("Partners" or "Providers"). Unless expressly stated otherwise, Wise Butterfly Inc. is not the lender, insurer, telecommunications provider, utility, bank, or issuer of those third-party products.

Any application, enrollment, purchase, loan, insurance policy, service contract, or other transaction with a separate provider is governed by that provider's applicable terms and privacy notices. Services provided by WisePal Insurance Agency, LLC remain governed by its separate applicable agreements and notices. This Section does not amend or replace those documents.

WisePal may receive compensation from Partners or Providers when you select certain products or services. Compensation may differ by product or Provider. We do not guarantee that the Services include every product, Provider, rate, or savings opportunity available to you. A bill-negotiation request does not authorize enrollment in a different product.

14. User Data and Privacy

Your use of the Services is subject to our Privacy Policy and, where applicable, our Consumer Privacy Notice.

You authorize WisePal to collect, process, store, use, and disclose information reasonably necessary to provide the Services you request, including information you submit directly and information obtained through accounts or services you choose to connect.

You grant WisePal a limited, non-exclusive license to use information and materials you provide as necessary to operate, support, protect, improve, and provide the Services and to comply with legal obligations.

WisePal may use aggregated or de-identified information for analytics, research, product development, and artificial-intelligence or machine-learning improvement as described in the Privacy Policy. The authorizations and licenses in this Section are subject to that Policy, applicable law, and applicable data-source restrictions; a general authorization does not override a more specific restriction.

15. Security

WisePal maintains administrative, technical, and physical safeguards designed to protect personal information.

No system or method of transmission or storage can be guaranteed to be completely secure, and WisePal cannot guarantee absolute security.

You are responsible for protecting access to your own accounts, devices, email accounts, and credentials and for promptly notifying WisePal if you believe your WisePal account or information has been compromised.

16. Rules of Conduct

You agree not to use the Services:

for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes; to submit an account you do not have authority to manage; to provide information you know is materially false or misleading; to obtain unauthorized access to another person's information or account; to interfere with or disrupt the Services; to introduce malicious software; to reverse engineer or improperly scrape the Services; to infringe intellectual-property, privacy, or other rights; or in any manner prohibited by applicable law.

WisePal may suspend or terminate access if we reasonably believe the Services are being used fraudulently, unlawfully, without proper authority, or in violation of these Terms.

17. Intellectual Property

WisePal and its licensors own all rights, title, and interest in the Services and related software, designs, graphics, text, content, trademarks, data compilations, technology, and other materials, except for materials owned by users or third parties.

These Terms do not transfer ownership of WisePal intellectual property to you.

You may use the Services only for your personal, lawful use and in accordance with these Terms.

18. Third-Party Materials and Links

The Services may contain links to or information from third-party websites, services, resources, Partners, or Providers.

WisePal does not control those third parties and is not responsible for their availability, security, content, privacy practices, products, or actions.

Your use of third-party products and services is subject to the applicable third party's terms.

19. Feedback

If you provide suggestions, comments, ideas, or other feedback concerning the Services, you grant WisePal the right to use that feedback without restriction or compensation to you, provided that doing so does not alter WisePal's obligations concerning your personal information under the Privacy Policy.

20. Termination

These Terms apply while you access or use the Services.

You may stop using the Services at any time and may contact WisePal to request account closure or cancellation of future Services.

WisePal may suspend or terminate your access where reasonably necessary, including for suspected fraud, unauthorized use, violation of these Terms, legal or regulatory reasons, security concerns, or discontinuation of a Service.

Termination does not eliminate payment obligations or other provisions that by their nature should survive termination. Payment obligations remain subject to Section 8, including its fee-earning rules, covered recurring-savings period, one-time-credit installment schedule, correction provisions, and prohibition on acceleration.

21. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW.

WISEPAL DOES NOT GUARANTEE THAT:

A NEGOTIATION WILL SUCCEED; A PROVIDER WILL OFFER A DISCOUNT; A PARTICULAR AMOUNT OF SAVINGS WILL BE ACHIEVED; SAVINGS WILL CONTINUE FOR A PARTICULAR PERIOD; THIRD-PARTY INFORMATION WILL ALWAYS BE ACCURATE; OR THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

PROVIDERS RETAIN CONTROL OVER THEIR OWN PRICING, PROMOTIONS, ACCOUNT POLICIES, AUTHENTICATION REQUIREMENTS, AND SERVICE TERMS.

WISEPAL IS NOT RESPONSIBLE FOR A PROVIDER'S INDEPENDENT ACTS OR OMISSIONS.

Nothing in the Services constitutes legal, tax, investment, insurance, or other professional advice unless expressly stated otherwise.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WISEPAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WISEPAL AND THE OTHER PERSONS IDENTIFIED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED $100, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANOTHER LEGAL THEORY.

These limitations do not authorize conduct outside the scope of Section 5 or reduce a fee correction or refund expressly due under Section 8. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or a statutory obligation to the extent that liability cannot lawfully be excluded or limited. Mandatory consumer rights and remedies remain applicable. These qualifications do not create liability where none otherwise exists.

For New Jersey residents, these disclaimers and limitations apply only to the maximum extent permitted by New Jersey law.

23. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless WisePal and its affiliates, officers, directors, employees, contractors, representatives, and agents from claims, losses, liabilities, damages, and reasonable costs arising from:

your material violation of these Terms; your submission of a Provider account you were not authorized to manage; information you knowingly provide that is materially false or unauthorized; your unlawful use of the Services; or your infringement of another person's rights.

24. Electronic Communications and Signatures

You consent to receiving agreements, disclosures, notices, and other Service-related communications electronically.

Your electronic acceptance, including clicking a button or checkbox indicating agreement, constitutes your electronic signature and has the same effect as a handwritten signature to the extent permitted by law.

WisePal may maintain electronic records of your acceptance, including the version of the applicable terms or authorization, date and time, and related technical records.

WisePal may rely on instructions and authorizations submitted through your account or otherwise reasonably attributable to you, subject to applicable law. Electronic records may be used to establish the scope and timing of an authorization or instruction.

25. Changes to These Terms

WisePal may update these Terms from time to time.

If we make a material change, we will provide notice as required by applicable law, including through the Website, Platform, email, or another reasonable method.

Changes apply prospectively from their effective date unless applicable law permits otherwise.

If you do not agree to updated Terms, you must stop using the affected Services.

27. Governing Law and Venue

To the extent permitted by applicable law, these Terms and disputes arising from or relating to the Services are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

Any legal action arising from or relating to these Terms or the Services shall, to the extent permitted by applicable law, be brought in a court of competent jurisdiction in Nassau County, New York, or, where federal jurisdiction exists, in the United States District Court for the Eastern District of New York.

Nothing in this section limits a consumer's right to bring a claim in another jurisdiction or venue where that right cannot lawfully be waived, including an appropriate small-claims court.

For a claim whose filing period may lawfully be shortened by contract, any action arising from or relating to the Services must be commenced within one year after the cause of action accrues. This provision does not shorten a filing period where prohibited by applicable law.

Mandatory consumer protections, jurisdictional rights, and remedies remain applicable notwithstanding this section.

28. General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

WisePal's failure to enforce a provision is not a waiver of that provision.

You may not assign your rights or obligations under these Terms without WisePal's consent. WisePal may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets or as otherwise permitted by law.

These Terms, together with the Privacy Policy, applicable Consumer Privacy Notice, and transaction-specific disclosures, constitute the agreement between you and WisePal concerning the Services.

Except for the persons expressly protected under Section 22, these Terms do not grant independent contractual enforcement rights to a third-party beneficiary. This provision does not affect any person's rights under applicable law or a separate agreement.
